1. Agreement
By accessing or using Intentribution, you agree to these Terms of Service and all related policies incorporated by reference.
2. Platform Role
Intentribution is a technical platform for catalog operations, metadata administration, rights workflow support, and distribution facilitation. Intentribution is not your record label, publisher, manager, attorney, fiduciary, or legal representative, and does not assume ownership of your content unless expressly agreed in writing.
3. Eligibility and Authority
You represent that you are legally capable of entering into this agreement and, if acting for an artist, label, publisher, rights holder, or organization, that you have authority to bind that party.
4. Account Security
You are responsible for account credentials, user invitations, role assignments, device security, and all actions performed through your account or workspace.
5. Ownership and Responsibility
You retain ownership of content and rights you lawfully control. By uploading, registering, or submitting material, you represent and warrant that you have all rights, permissions, clearances, licenses, and authority necessary for storage, validation, review, distribution, monetization, and any downstream exploitation you instruct through the service.
Intentribution does not independently verify chain of title, ownership, sample clearance, publishing authority, neighboring rights authority, or contributor authorization unless explicitly agreed in writing. All disputes regarding ownership, royalties, permissions, clearances, and rights allocation remain the responsibility of the submitting user or represented entity.
6. License to Operate the Service
You grant Intentribution a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, process, validate, transmit, display, and otherwise use submitted content and metadata solely as necessary to operate, secure, improve, support, audit, and, where enabled, distribute the service and connected workflows.
7. Prohibited Conduct
- Uploading or directing the use of content without sufficient rights or authority.
- Providing false, misleading, incomplete, or manipulated metadata.
- Impersonating any artist, label, contributor, or rights holder.
- Uploading malware, harmful payloads, or malicious code.
- Scraping, reverse engineering, probing, exfiltrating, or disrupting the service.
- Using the platform in violation of intellectual property, privacy, consumer protection, sanctions, export control, or unfair competition laws.
8. Enforcement Rights
We may investigate suspected violations, remove or disable content, pause delivery, freeze access to specific workflows, reject submissions, suspend accounts, or terminate the service relationship without prior notice where reasonably necessary to protect the platform, third parties, or our legal position.
9. Third-Party Services
Distribution, delivery, monetization, hosting, reporting, and payment functions may depend on third-party systems. We do not control and are not responsible for the independent decisions, outages, delays, rejections, reporting standards, or contractual terms of third-party platforms.
10. Revenue and Reporting Disclaimer
We do not guarantee revenue, availability on any specific service, speed of delivery, accuracy of third-party reports, payment timing, or commercial performance. Any reporting shown inside the platform may depend on upstream data and may be delayed, estimated, corrected, or removed.
11. Intellectual Property in the Platform
Except for content and rights you control, the platform, software, workflow logic, design system, validation mechanisms, and related materials remain our property or the property of our licensors.
12. Disclaimers
The service is provided as is and as available without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, or error-free operation.
13. Limitation of Liability
To the maximum extent permitted by law, Intentribution shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of revenue, profits, data, goodwill, business opportunity, release opportunity, or reputation, even if advised of the possibility of such damages.
14. Indemnification
You agree to defend, indemnify, and hold harmless Intentribution and its affiliates, officers, personnel, contractors, and licensors from claims, losses, liabilities, damages, judgments, costs, and expenses arising from your content, your rights representations, your submissions, your use of the service, or your violation of these terms or applicable law.
15. Termination
You may stop using the service at any time. We may suspend or terminate access at any time, with or without notice, if we believe continued access creates legal, operational, security, or reputational risk.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law rules. Any dispute shall be resolved through binding individual arbitration, and class or representative proceedings are waived to the fullest extent permitted by law.
17. Changes
We may update these Terms periodically. Continued use after the effective date of an updated version constitutes acceptance of the revised Terms.
