1. Agreement
By accessing or using Intentribution, you agree to these Terms of Service.
2. Service Description
Intentribution provides software for rights metadata management, contributor administration, asset and catalog organization, versioning, review workflows, release readiness, takedown support, and related music distribution operations.
3. Eligibility and Authority
You represent that you are legally capable of entering into this agreement and, when acting for an artist, label, publisher, distributor, or rights holder, that you have authority to bind that person or entity.
4. Account Security and Access Control
You are responsible for credential confidentiality, role assignment, workspace permissions, and actions taken through your account or organization.
5. Metadata Accuracy and Rights Responsibility
You are responsible for the completeness, legality, and accuracy of uploaded metadata, ownership splits, clearances, identifiers, contributor credits, artwork, audio, territorial instructions, and delivery decisions. Intentribution does not independently verify the legal sufficiency of your rights chain unless explicitly agreed in writing.
6. Prohibited Conduct
- Submitting content you do not own or control.
- Misrepresenting authorship, ownership, licensing, identity, or distribution authority.
- Uploading malware, harmful code, or abusive payloads.
- Attempting to reverse engineer, scrape, exfiltrate, or disrupt the service.
- Using the platform in violation of applicable intellectual property, privacy, or unfair competition laws.
7. Intellectual Property
Except for your content and rights you control, Intentribution and its software, interface design, workflow logic, validation systems, and related materials remain our property or the property of our licensors.
8. License to Operate the Service
You grant us a limited, non-exclusive license to host, store, reproduce, format, transform, transmit, and display submitted content and metadata solely as needed to operate, secure, validate, support, and improve the service and connected workflows.
9. Availability, Validation, and Operational Changes
We may modify, suspend, or discontinue features at any time. Validation indicators, workflow statuses, or release readiness markers are operational tools and do not constitute legal opinions or guarantees of third-party acceptance.
10. Disclaimers
The service is provided on an as is and as available basis. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, Intentribution will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, data, catalog value, or anticipated distributions.
12. Suspension and Termination
We may suspend or terminate access for violation of these terms, repeated rights disputes, security risk, fraud indicators, nonpayment, abuse of the service, or legal necessity.
13. Governing Law
These terms are governed by the laws identified in your controlling commercial agreement or, if none exists, the laws identified on the Legal Center page.
